Terms of Service
1. The Service
SiteProjeX is a website platform for solar, HVAC, roofing, and pool heat contractors. The Service provides isolated multi-tenant site hosting, page authoring and management, named user accounts with role-based permissions, version history for every page edit, publish and unpublish controls with a full audit trail, fast static page delivery, and management of multiple sites from a single account. Features are described on siteprojex.com and may change. Some capabilities referenced on the marketing site are in development and not yet available — see the "Roadmap" section of siteprojex.com for current status. Statements about planned features are not commitments.
2. Account, Roles, and Authority
Eligibility. You must be at least 18 years old and able to form a binding contract. The person who creates the account on behalf of a company is the Account Owner and must have authority to bind the company to these Terms.
Company Accounts and Users. A "Customer" is the business entity holding the account. The Customer may invite Users (employees, contractors, office staff) to access the Service under the Customer's account. The Customer is responsible for the actions of all Users under its account, including compliance with these Terms.
Admin Controls. The Account Owner controls who can access the account, what permissions Users have, and may add or remove Users at any time. Disputes between Customers and Users about account access, content ownership, or User activity are between those parties and are not the responsibility of CivyxIQ.
3. Early Access
SiteProjeX is currently being made available to a limited group of early access customers. Access, available features, and pricing during this period are provided at CivyxIQ's discretion and may change as the Service develops. Participation in early access does not guarantee continued or long-term access to the Service.
4. License Grant
Subject to your compliance with these Terms, CivyxIQ grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for Customer's internal business purposes during the term of the account.
5. Customer Data and Ownership
"Customer Data" means all pages, text, images, site configuration, and other content that Customer or its Users upload to or create through the Service.
Ownership. Customer retains all right, title, and interest in and to Customer Data. CivyxIQ does not claim ownership of Customer Data.
License to Operate. Customer grants CivyxIQ a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Customer Data solely as necessary to: (a) provide and operate the Service; (b) provide support; (c) prevent fraud and abuse; (d) generate de-identified or aggregated data for product improvement; and (e) comply with legal obligations.
Customer Responsibility. Customer represents that it has all necessary rights and permissions to upload Customer Data to the Service and is responsible for the accuracy, quality, and legality of Customer Data.
6. Publishing and Public Content
Customer controls what content is published to its live, public-facing site through the Service. Customer is solely responsible for the accuracy, legality, and appropriateness of all published content, including compliance with advertising law, any trade-specific licensing disclosure requirements, and any claims made about Customer's business, services, pricing, or credentials. CivyxIQ does not review or approve content before publication and is not responsible for the content of any Customer site.
7. Domains and Hosting
If Customer's account includes a custom domain, Customer is responsible for owning and configuring that domain's DNS records. CivyxIQ provisions SSL certificates through a third-party certificate authority and does not warrant uninterrupted SSL availability.
8. Acceptable Use
Customer may not: upload content that infringes any third-party right or violates law; upload personal information about individuals without a legal basis to do so; use the Service for any purpose other than Customer's internal business operations; reverse engineer or attempt to derive the Service's source code; resell, sublicense, or share access with unaffiliated third parties; or use the Service to misrepresent an affiliation with CivyxIQ or any third party.
9. Fees
Pricing for the Service has not yet been established. Any fees will be disclosed to Customer before Customer is charged. Use of the Service during early access is provided under terms communicated directly to each early access Customer.
10. Cancellation and Data Export
Customer may cancel at any time by contacting support@civyxiq.com. Upon cancellation, Customer may export Customer Data for a reasonable period before deletion. After that period, CivyxIQ may delete or anonymize Customer Data, except as required by law.
11. Marketing Claims and Forward-Looking Statements
Statements on siteprojex.com or in marketing materials about planned features, upcoming releases, or roadmap items are aspirational and may change, be delayed, or be discontinued without notice. CivyxIQ does not guarantee any specific operational outcome, timeline, or feature availability.
12. Intellectual Property
CivyxIQ and its licensors own all right, title, and interest in and to the Service, including software, features, design, user interface, and documentation. No rights are granted other than the limited license expressly stated in these Terms. Feedback you provide may be used by us without restriction or compensation.
13. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses for its own confidential information of similar nature, and in no case less than reasonable care.
14. Third-Party Services
The Service may rely on third-party providers, including hosting, email delivery, analytics, and payment processing. These third parties operate under their own terms and privacy policies. CivyxIQ does not warrant the accuracy, completeness, or availability of third-party services.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." CIVYXIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVYXIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT CUSTOMER PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.
17. Indemnification
Customer agrees to defend, indemnify, and hold harmless CivyxIQ and its officers, directors, employees, and agents from any third-party claims arising out of or related to: (a) Customer's use of the Service; (b) Customer Data, including any claim it infringes a third-party right or violates law; (c) content Customer publishes through the Service; or (d) Customer's violation of these Terms or applicable law.
18. Suspension and Termination
We may suspend or terminate Customer's account immediately, with or without notice, if: (a) Customer breaches these Terms; (b) we suspect fraud, abuse, or unauthorized use; (c) required by law; or (d) we discontinue the Service. Sections that by their nature should survive termination shall survive.
19. Modifications to These Terms
We may modify these Terms at any time by posting a revised version on the Service. For material changes, we will provide at least 30 days' advance notice. Continued use after the effective date constitutes acceptance.
20. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
21. Dispute Resolution and Binding Arbitration
Please read this section carefully. It requires you to arbitrate disputes with us and limits the way you can seek relief.
Informal Resolution. Before filing any claim, you agree to first contact us at legal@civyxiq.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration. Any dispute arising out of or relating to this Agreement or the Service that is not resolved informally shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Orlando, Florida, or by video conference at the arbitrator's discretion.
Class Action Waiver. YOU AND CIVYXIQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION.
Exceptions. Either party may bring an individual action in small claims court, or seek injunctive relief in the state or federal courts located in Seminole County, Florida for infringement or misappropriation of intellectual property or confidentiality obligations.
Opt Out. You may opt out of this arbitration agreement by sending written notice to legal@civyxiq.com within 30 days of first accepting this Agreement, including your name, account email, and a clear statement that you wish to opt out.
22. General Provisions
Entire Agreement. This Agreement, together with any policies referenced herein, constitutes the entire agreement between you and us regarding the Service.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Assignment. You may not assign this Agreement without our prior written consent. CivyxIQ may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets.
Force Majeure. Neither party is liable for delay or failure in performance due to causes beyond its reasonable control.
Notices. Notices to CivyxIQ must be sent in writing to legal@civyxiq.com.
